Skygate Terms of Use

These Terms of Use (“Terms”) govern access to and use of Skygate, the web-based energy management platform (the “Service”).

Skygate is provided by Upvolt Energy Ltd (“Upvolt”, “we”, “us”, or “our”).

By accessing or using Skygate, you agree to comply with these Terms. If you do not agree, you must not use the Service.


1. About Skygate

Skygate is a digital platform designed to support the monitoring, optimisation, and management of energy usage, including integration with compatible devices, tariffs, and related services.

We may improve, update, modify, or discontinue parts of Skygate at any time.


2. Eligibility

To use Skygate, you must:

  • Be at least 18 years old, or have legal authority to use the Service

  • Provide accurate information where registration is required

  • Use Skygate only in accordance with applicable laws and regulations

You are responsible for:

We are not liable for losses resulting from unauthorised use of your account.

We aim to provide Skygate reliably, but we do not guarantee uninterrupted or error-free access.

Skygate may occasionally be unavailable due to:

  • Maintenance or updates

  • Technical faults

  • Network outages

  • Third-party service disruptions

Upvolt is not liable for service interruptions or downtime.


9. Fees and Future Services

Skygate may include free features and may also offer paid services or subscriptions in the future.

Where fees apply, users will be informed of pricing and applicable terms before any charges are incurred.

We reserve the right to introduce, modify, or discontinue features or pricing with reasonable notice.


10. Termination and Suspension

We may suspend or terminate access to Skygate if:

You may stop using Skygate at any time.

Upon termination, your right to access the Service will end immediately.


11. Disclaimer

To the maximum extent permitted by law, we disclaim all warranties, including:

  • Fitness for a particular purpose

  • Accuracy of optimisation outcomes or savings estimates

  • Availability of integrations or external energy data

Skygate provides tools and automation support, but you remain responsible for your energy decisions and device operation.


12. Limitation of Liability

To the maximum extent permitted by law, Upvolt shall not be liable for:

  • Indirect, incidental, or consequential losses

  • Loss of profits, revenue, business, goodwill, or data

  • Failures caused by third-party services, devices, tariffs, or suppliers

Upvolt’s total liability for any claim related to Skygate shall not exceed the amount paid by you (if any) for the Service in the previous 12 months.

Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence.


13. Indemnity

You agree to indemnify and hold harmless Upvolt against claims, damages, liabilities, or expenses arising from:

  • Misuse of Skygate

  • Breach of these Terms

  • Violation of law or third-party rights


14. Changes to These Terms

We may update these Terms from time to time.

The latest version will always be available within Skygate or on our website. Continued use of the Service constitutes acceptance of the updated Terms.


15. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
